RIDER / DELIVERY PARTNER TERMS OF SERVICE

1. ELIGIBILITY AND REGISTRATION

To register as a Rider, you must: - Be at least 18 years old - Possess a valid government-issued identification - Hold a valid rider’s permit, driver’s license, or relevant approval where required by law - Own or have legal access to a roadworthy vehicle (motorcycle, bicycle, or car, as applicable) - Maintain an active mobile phone with internet access You agree that all information provided during registration is accurate and up to date. 2. INDEPENDENT CONTRACTOR STATUS

You acknowledge and agree that: - You are an independent contractor, not an employee, agent, or partner of the Company - You are solely responsible for determining how, when, and whether to accept delivery requests - Nothing in these Rider Terms creates an employment relationship

3. USE OF THE PLATFORM

The Platform allows Riders to receive delivery requests from users or merchants. You are under no obligation to accept any request.

When you accept a delivery request, you agree to: - Complete the delivery promptly and professionally - Follow provided delivery instructions - Handle goods with reasonable care - Confirm delivery through the Platform

4. VEHICLE, SAFETY, AND COMPLIANCE

You agree to: - Maintain your vehicle in safe and roadworthy condition - Comply with all applicable traffic, transport, and safety laws in Nigeria - Wear appropriate safety gear, including helmets where required - Not operate under the influence of alcohol, drugs, or any illegal substances

The Company may suspend or deactivate your account for safety violations.

5. FEES, PAYMENTS, AND EARNINGS

• Rider earnings are calculated per completed delivery and displayed on the Platform
• The Company may deduct applicable service fees, commissions, or charges
• Payments will be made via the approved payment method and schedule communicated on the Platform
• You are not entitled to payment for cancelled or incomplete deliveries, except as expressly stated

6. RATINGS AND PERFORMANCE

Users and merchants may rate Riders. Repeated low ratings, complaints, or misconduct may result in suspension or termination of your Rider account.

7. PROHIBITED CONDUCT

You agree not to: - Engage in fraudulent, dishonest, or deceptive behavior - Misappropriate or tamper with delivered goods - Harass, threaten, or harm users, merchants, or Company staff - Use the Platform for unlawful purposes - Allow another person to use your Rider account

8. EQUIPMENT AND EXPENSES

You are solely responsible for: - Vehicle purchase, fuel, maintenance, and repairs - Mobile devices and data costs - Insurance coverage, including third-party motor insurance where required by law.

The Company does not provide vehicles, fuel, or insurance unless expressly stated.

9. INSURANCE AND RISK

You perform deliveries at your own risk. To the fullest extent permitted by Nigerian law, the Company does not provide health, accident, or vehicle insurance coverage for Riders.

10. INTELLECTUAL PROPERTY

The Platform, trademarks, logos, and software remain the exclusive property of the Company. You are granted a limited, non-exclusive, revocable license to use the Platform solely for delivery services.

11. SUSPENSION AND TERMINATION

The Company may suspend or terminate your Rider account at any time, with or without notice, if you: - Violate these Rider Terms - Breach applicable laws - Engage in conduct that poses a risk to users, merchants, or the Company.

You may stop using the Platform at any time.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.

The Company’s total liability shall not exceed the amount earned by you through the Platform in the thirty (30) days preceding the event giving rise to the claim.

13. INDEMNIFICATION

You agree to indemnify and hold harmless the Company, its officers, employees, and partners from any claims, damages, losses, or expenses arising from: - Your delivery activities - Your violation of these Rider Terms - Your breach of any law or third-party rights

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Rider Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the courts of competent jurisdiction in Nigeria.

15. CHANGES TO THESE RIDER TERMS

The Company may update these Rider Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised terms.
